Gray Goose Airways, Inc., an early aviation enterprise, was founded by eccentric inventor Jonathan Edward Caldwell in 1928. Caldwell incorporated the firm under Nevada laws with the primary objective of securing investment capital for his unconventional aviation designs, most notably an “ornithopter”—a flying machine designed to flap its wings like a goose. Although legally registered in Nevada, the company’s physical operations were initially based in Denver, Colorado. Caldwell established a workshop on Josephine Street while maintaining a more upscale executive office downtown at the US National Bank Building to project legitimacy and attract buyers for the company’s initial stock offering.

Gray Goose Airways’ business model heavily relied on the sale of penny stocks. Caldwell attempted to issue 10,000 shares at ten cents each, retaining a majority 51 percent stake. Despite successfully raising several thousand dollars from hopeful investors, his fundamental aerodynamic theories failed to produce a viable commercial aircraft. By 1931, after failing to build a working prototype in the West, Caldwell relocated the enterprise to the East Coast. He briefly pivoted to promote Gray Goose Airways as a passenger and freight line. However, the company never achieved commercial flight success. Caldwell ultimately closed down operations in 1939, officially exchanging the remaining investor shares for stock in a newly structured venture called Rotor Planes, Inc.

Jonathan Edward Caldwell (1883–1955) was a Canadian-American self-taught aeronautical engineer and inventor renowned for his unconventional and ambitious early 20th-century aviation concepts. Born in Hensall, Ontario, Caldwell relocated to the United States in 1910 and briefly pursued mechanical engineering at Oregon State College. By the 1920s, he became deeply engrossed in aerodynamics, relying on textbooks and encyclopedias to self-educate himself on the principles of flight. Driven by a fervent desire to revolutionize air travel, Caldwell conceptualized vertical take-off and landing (VTOL) vehicles decades before they gained mainstream acceptance. His earliest patented invention, the 1923 “Cyclogyro,” featured a conventional fuselage flanked by rotating, Ferris wheel-like frames equipped with small airfoil blades.

To finance his unconventional ideas, Caldwell established public entities such as Gray Goose Airways and Rotor Planes Inc., raising capital by selling stock to optimistic investors. Over the ensuing decade, he shifted from his initial human-powered, flapping-wing “ornithopter” to a saucer-like “Disk Rotor” plane designed to make low-cost aviation accessible to the general public. Regrettably, his prototypes either failed to take off or crashed shortly after achieving brief, unstable flight. Faced with intense pressure from dissatisfied shareholders and mounting legal scrutiny over potential securities fraud, Caldwell abandoned his operations in the late 1930s and completely vanished from public life. Decades after his quiet departure, his abandoned disc-wing prototypes were discovered in a Maryland tobacco barn, sparking widespread curiosity and permanently cementing Caldwell’s legacy as a foundational figure within American UFO lore and eccentric engineering history.

A stock certificate is issued by businesses, usually companies. A stock is part of the permanent finance of a business. Normally, they are never repaid, and the investor can recover his/her money only by selling to another investor. Most stocks, or also called shares, earn dividends, at the business's discretion, depending on how well it has traded. A stockholder or shareholder is a part-owner of the business that issued the stock certificates.
